P.M BASEMENT Online Shop Terms of Service

These Terms of Service (hereinafter referred to as the "Terms") define the terms and conditions for utilizing the services provided through the online shop "P.M BASEMENT" (hereinafter referred to as the "Shop"), operated and maintained by Komatsu Co., Ltd. (hereinafter referred to as the "Company"). All customers accessing, browsing, or placing orders through the Shop (hereinafter referred to as the "User") must thoroughly read, understand, and agree to be bound by these Terms prior to utilization.

Article 1 (Scope and Applicability)

  1. These Terms shall apply comprehensively to any and all legal relationships and interactions between the User and the Company regarding the utilization of the Shop.

  2. The Company reserves the right to modify, amend, or update these Terms at any time without prior explicit notice. Any modified Terms shall become immediately effective the moment they are published on the Shop website.

Article 2 (Account & Member Registration)

  1. The User may register for a membership account through our designated registration procedures to enhance their utilization of the Shop.

  2. In the event that a User provides fraudulent, inaccurate, or outdated information during the registration process, the Company reserves the absolute right to suspend, restrict, or entirely revoke the User’s membership status without delay.

Article 3 (Prohibited Conduct)

The User is strictly prohibited from engaging in any of the following acts when utilizing the Shop:

  1. Acts that violate applicable local, national, or international statutory laws, regulations, or public order and morals.

  2. Acts that infringe, exploit, or violate the intellectual property, privacy, or any other legal rights of other Users or third parties.

  3. Acts involving the registration, submission, or dissemination of fraudulent or intentionally misleading information.

  4. Acts that interfere with, damage, or disrupt the operation of the Shop, including unauthorized server access, malware distribution, or cyberattacks.

  5. Any other conduct that the Company deems operationally inappropriate, harmful, or unacceptable.

Article 4 (Sales & Purchase Contract)

  1. A legally binding sales contract is officially established the moment a User submits a purchase order through the Shop and the Company explicitly accepts and validates the order confirmation.

  2. The Company reserves the right to unilaterally cancel or void any established sales contract if the User triggers any of the following conditions:

    • If the User violates any provision outlined within these Terms.

    • If any fraudulent utilization or unauthorized access is detected regarding the payment method used.

    • In any other cases where the Company deems the transaction to be operationally inappropriate or high-risk.

Article 5 (Prices & Payment Methods)

  1. The User agrees to pay the final purchase price displayed on the Shop at checkout, alongside any associated shipping rates, customs duties (if applicable), or handling fees.

  2. All payments must be executed strictly through the payment processing methods explicitly authorized and designated by the Shop.

Article 6 (Delivery of Products)

  1. The dispatch of ordered products shall be processed within the timelines designated by the Company following successful payment authorization and validation.

  2. Please be aware that shipment and delivery windows may experience unforeseen logistics delays due to severe weather, natural disasters, or other transportation constraints.

Article 7 (Returns & Exchanges)

  1. In the event that an item is defective, flawed, or different from the original order validation, requests for a return or replacement will be accepted strictly within 14 days of receiving your delivery.

  2. We strictly do not accept any returns or exchanges for reasons other than those specified in the preceding paragraph.

Article 8 (Intellectual Property Rights)

All intellectual property rights, including but not limited to product photography, graphics, textual descriptions, website designs, and registered trademarks displayed on the Shop, remain the exclusive property of the Company or their respective rightful owners. The User is strictly prohibited from copying, reproducing, or using any such content without our prior explicit written consent.

Article 9 (Limitation of Liability & Disclaimers)

  1. The Company shall assume no liability or responsibility for any damages, losses, or injuries incurred by the User arising from the use or misuse of products purchased from the Shop.

  2. The Company shall not be held liable or responsible for any temporary service disruptions, network latency, data omissions, or losses of data resulting from telecommunication failures or system maintenance errors.

Article 10 (Governing Law & Jurisdiction)

  1. The interpretation, validation, and enforcement of these Terms shall be governed strictly by and construed in accordance with the statutory laws of Japan.

  2. Any legal disputes, controversies, or claims arising out of or in connection with the utilization of the Shop shall be submitted to the exclusive jurisdiction of the court having primary authority over the location of the Company's corporate address for the first instance.

Supplementary Provisions

These Terms shall officially become effective and enforceable as of April 1, 2025.
